These Terms and Condition of Use (“Terms”) govern your use and access of the KB Matrix websites (www.kbmatrix.co.uk, www.kbmatrix.io), mobile applications, and business services (collectively, our “Platform”). By accessing, browsing, and using any of our Platform, you agree that you have read, understood and you are legally bound by these Terms. If you do not agree, you must not use or access the Platform. Our privacy policy also applies to the use of our Platform, and it forms a part of the Terms and Condition of Use.
1. DEFINITIONS
(a) “Company”, “we”, “us” or “our” – this refers to KB Matrix Ltd, a company incorporated in England, United Kingdom.
(b) “You”, “User”, or “your” refer to you who accesses, browses and registers to use our mobile application and our Platform, whether as a hairstylist, salon operator, client, or a visitor.
(c) “Client” refers to individuals seeking or booking hair care or hairstyling services through our Platform.
(d) “Stylist” refers to individuals or businesses offering hair care and hair styling services through our Platform.
2. ELIGIBILITY
You must be at least 18 years and legally capable of entering a binding contract to create a business profile on our Platform. IF YOU ARE BELOW 18 YEARS OLD, you need consent from a parent or legal guardian to use our Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.
3. ACCOUNT REGISTRATION AND SECURITY
You are required to register an account by providing accurate and complete information about you in the sign-up process. You are solely responsible for safeguarding your login credentials which includes your username/email and password. You are also solely responsible for the activities carried out through your account. If there is any breach or unauthorised use of your account, you agree to promptly notify us. On the KB Matrix Platform there are two distinct account types:
(a) “Client” This is the personal account used by clients who intend to book hair appointments with the business professionals on the Platform. You must ensure that information, contact details and payment credentials you provide is accurate. You must use the booking and communication tools respectfully and in good faith and to not misuse the Platform to defame, harass or unjustly review a stylist. Clients must adhere to our Booking and Cancellation Policy. (Linked). You agree to not impersonate or create an account as anyone else other than yourself.
You must use the booking system responsibly and adhere to the rescheduling and cancelling of your appointment in accordance with our Bookings and Cancellation Policy. You agree to only book appointments you intend to attend; you agree to refrain from conduct that is averse to the interests or reputation of Stylists using the Platform.
Repeated failure to attend scheduled appointments or last-minute cancellations may result in the suspension or termination of your account. Clients further agree to indemnify KB Matrix and the Users of the Platform for any damages caused by their adverse conduct towards the service providers.
(b) “Professional” This is the account used by stylists and salon professionals representing themselves as sole traders or as a representative of a business. You must upload accurate information about yourself and the business you represent, you are solely responsible for safeguarding your Business login credential and for all activities under your account, regardless of whether the activity is authorised. You agree to not provide information that is not yours or your business. You and your Business accept these terms. Professionals must provide verifiable information regarding their services, qualification, and pricing. Professionals are to keep service availability, service list and prices up to date.
You agree to honour all confirmed bookings unless an emergency or unforeseen circumstance occurs, deliver services in accordance with industry standard and UK health and safety laws. Manage client interactions professionally and respectfully and promptly address client complaints and strive to resolve disputes fairly.
These Terms indemnifies Us from any claim, action or lawsuits arising from the use of the Platform or violation of these Terms, including but not limited to claims, losses, damages, litigation cost and legal fees. Professionals accept these terms and must adhere to our Booking and Cancellation Policy.
Professionals are solely responsible for determining their tax obligations and for complying with all applicable tax laws, including VAT, income tax, reporting requirements. KB Matrix does not provide tax advice or reporting services.
Failure to adhere to these obligations may result in account suspension or termination at the discretion of the Company.
4. PLATFORM SERVICES AND USE OF PLATFORM
KB Matrix grants you permission to use the Platform subject to the User Responsibilities listed in these Terms. We function as an intermediary technology provider, facilitating discovery, communication, and booking transactions between Professionals (Stylists) and Clients. The Company does not provide hair or beauty services and any contract for such is directly between the Professionals (Stylists) and Client. We do not supervise, direct, or control the services provided by Stylists.
5. USER RESPONSIBILITIES
All Users must use the Platform lawfully, ethically and in good faith, Users must provide accurate and current information, You must refrain from engaging in harassment, discrimination, and or fraudulent activities. You must avoid introducing malware or engaging in activity that disrupts the Platform operations.
We are not obligated to enforce the responsibilities of the Users of the Platform if there is a violation of these Terms.
User must not post, upload, or transmit content that is unlawful, misleading, defamatory, abusive, discriminatory, sexually explicit, or violates the rights of others.
6. SUBSCRIPTION AND PAYMENTS
Use of the Platform may be subject to subscription plans and/or transaction-based fees as communicated during onboarding or checkout. Fees are non-refundable unless stated otherwise in the Bookings and Cancellation Policy.
All payments are processed through authorised third-party processors. We disclaim liability arising from third-party processing errors or service interruptions or service interruptions.
Clients maybe subject to prepayment, deposit, or cancellation fees as set in the Bookings and Cancellation Policy (linked). KB Matrix is not a party to payment disputes, and we may offer to facilitate resolution of disputes at our own discretion.
At the point the Client makes payment for an appointment with a Professional (Stylist), the money transferred to the Professional’s wallet upon completion of the service and inputting the completion code sent to the Client (within 24- 48 hours). If code isn’t entered within this timeline and no objection is raised by the client, KB Matrix will go ahead to release funds to the Stylist once we are satisfied that evidence of service is shown.
7. CANCELLATIONS, REFUNDS, AND DISPUTES
Clients are responsible for reviewing the Booking and Cancellation Policy prior to booking their appointment, KB Matrix bears no liability for service delivery issues, dissatisfaction, or non-performance. In the event of non-performance, Clients will receive a full refund of payment made in accordance with the Booking and Cancellation Policy. We reserve the right to intervene in disputes in good faith and we do not provide a guarantee of outcome.
8. VERIFICATIONS, REVIEWS AND RATINGS
If you register on the Platform as a professional, you may be subject to identity and qualification verification, KB Matrix does not endorse, guarantee, or warrant the skills, qualifications, or conduct of any User (both Client and Professional). Reviews and Ratings reflect the opinion of the client after their appointments and are moderated only to ensure compliance with community standards (no bullying, abuse or harassment shall be tolerated).
The inclusion of a Professional on the Platform, whether through verification, ratings, or promotional content, does not constitute an endorsement or guarantee by KB Matrix. Users engage with Professionals at their own risk.
9. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights in the Platform, including but not limited to the content, designs, the Platform (excluding user-generated content) are owned by KB Matrix Ltd and are protected under intellectual property laws. You may not reproduce, distribute, reverse-engineer, adapt, or exploit any portion of the Platform without prior written consent from the Company.
User-generated content remains the intellectual property of the respective users. However, by submitting, uploading, or posting content on or through the Platform, you hereby irrevocably grant KB Matrix Ltd a non-exclusive, worldwide, royalty-free, perpetual, assignable, sub-license, and transferable license to use, reproduce, create derivative works of, publish, distribute, publicly perform, and display such content for the purposes of operating, marketing, and improving the Platform.
You also irrevocably grant the Users of the Platform and other Media Users, or third-party platforms authorised by Us the right to access your content in relation to their use of the Platform and any other Media or platforms. You irrevocably waive, and cause to be waived, any claims and assertions of moral rights of attribution or integrity with respect to your content submitted to or through the Platform, to the fullest extent permitted by the applicable law.
KB Matrix will never sell User contact information or permit third parties to market to a business’s clients through the Platform without consent. When you book or register on the Platform as a Client or a Professional, you will receive communications directly from them, such as appointment reminders, reviews, and service notifications; you may opt out of this by changing your settings on the Platform or opting out of receiving emails by clicking “unsubscribe”.
We reserve the rights, but are not obligated, to monitor, edit, restrict, or remove any user content at our sole discretion, including but not limited to content that violates these Terms, applicable laws, or our community guidelines.
10. DATA PROTECTION AND PRIVACY
Your personal data is collected and processed in accordance with our Privacy Policy (Linked), which forms part of these Terms. By using the Platform, you consent to the collection, promotion, distribution, and processing of your content in compliance with applicable data protection laws, including the UK GDPR.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by the law, KB Matrix Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, or data, arising out of or related to your use of the Platform or services arranged through it.
In no event shall our aggregate liability exceed the greater (i) £10 or (ii) the amount you paid to is in the preceding six (6) months.
11.1 Professional Liability Disclaimer
KB Matrix is not responsible for the quality, safety, legality, or outcome of any service rendered by Stylists using the Platform. Each Stylist is solely responsible for maintaining appropriate public liability and/or professional indemnity insurance and for ensuring compliance with local licensing, health, safety and sanitation standards. Clients acknowledge and accept that any risks arising from service provision are assumed solely between themselves and the Stylist. KB Matrix expressly disclaims any and all liability arising from professional misconduct, negligence, or service dissatisfaction.
You agree to defend, indemnify and hold harmless KB Matrix Ltd, its directors, officers, employees, affiliates, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, your breach of any applicable laws and regulations, or any disputes or issue between you and a third party.
12. DISCLAIMER OF WARRANTIES
The Platform and all content, services, and features are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability. We do not guarantee that the Platform will be uninterrupted, error-free or secure.
13. THIRD PARTY SERVICES AND LINKS
The Platform may contain links to or integrations with third-party websites, applications, or services not owned or controlled by KB Matrix. We are not responsible for the content, policies, or practices of such third parties and disclaim any liability related to your use thereof. Your use of the third-party services is at your own risk and governed by their respective terms.
14. FORCE MAJEURE
KB Matrix shall not be held liable or deemed in breach of these Terms for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, fire, flood, war, terrorism, labour disputes, governmental regulations, internet outages, or failure of telecommunications or data networks. In such cases, performances will be suspended for the duration of the event.
15. TERMINATION
KB Matrix solely reserves the discretionary right to suspend or terminate your access to the Platform at any time, without notice if we believe you have violated these Terms, applicable law, or engaged in conduct harmful to our business or other users. Upon termination, your right to use the Platform ceases immediately.
We also reserve the right to temporarily suspend your access to investigate suspected violations of these Terms or in response to any legal request or court order.
16. AMENDMENTS
KB Matrix reserves the right to amend these Terms at any time, Updated Terms will be posted on the Platform with a revised “Effective Date”. You will also be notified of our changes through your email information If you are a registered user of our platform. By continuing to use the Platform following any changes to the terms, you agree and accept the revised Terms.
17. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with laws of England and Wales.
In the event of any disputes or claims arising out of or relating to these Terms, the Platform, or the services provided, the parties shall first attempt to resolve the matter through informal negotiation. If the parties are unable to resolve the dispute within thirty (30) days of the commencement of negotiations, the matter shall be referred to mediation before an independent and mutually agreed upon mediator.
If mediation is unsuccessful, the dispute shall be submitted to final and binding arbitration under the rules of the London Court of International Arbitration (LCIA), and the seat of arbitration shall be London, England. The arbitration shall be conducted in English and the award rendered by the arbitrator shall be final and binding on both parties. Nothing in this section shall prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
You agree that any disputes shall otherwise be subject to the exclusive jurisdiction of the courts of England and Wales.
18. ENTIRE AGREEMENT AND SEVERABILITY
These Terms constitute the entire agreement between you and KB Matrix Ltd concerning your use of the Platform and supersede all prior communications and agreements. If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
